1-TERMS AND CONDITIONS Welcome to GCMX Africa, operated by Gezawa Commodity Market & Exchange (GCMX) Radio and TV (hereinafter referred to as "GCMX Africa", "we", "our", or "us"). These Terms and Conditions govern your access to and use of our website (www.gcmxafrica.com) mobile application and streaming services ("Services"). By using our Services, you agree to be bound by these Terms.

1.1 Use of Services Users must: (a) use the services in accordance with the terms contained herein; (b) provide accurate information; (c) be at least 13 years old, depending on location and content; and (d) use the Services for lawful purposes only.

1.2 Accounts and Subscriptions To access premium content, users must: (a) create an account; (b) subscribe to a weekly or monthly plan; (C) be responsible for maintaining the account confidentiality and all activities thereunder; and (d) agree that no refunds after billing cycle starts.

1.3 Payments (a) All payments are processed securely; (b) Subscription fees are billed based on the plan selected; (c) E-books or other premium contents are billed separately outside the initial subscription; and (d) no refunds after billing cycle starts.

1.4 Intellectual Property (a) All contents available on GCMX Africa, including movies, shows, music, and e-books, are owned or licensed by GCMX Radio and TV; and (b) users may not reproduce, distribute, or modify any content without authorization.

1.5 Content Use and Licensing (a) users receive a limited, non-transferable license to stream content; (a) downloading content may be restricted to certain devices; and (c) no redistribution, recording or public broadcast without permission.

1.6 Prohibited Conduct Users must comply with all laws and shall not engage in: (a) unauthorized copying or sharing of contents or passwords; (b) hacking or attempting to breach system security; and (c) using the service for illegal or harmful purposes. (d) use of VPNs to bypass regional restrictions.

1.7 Platform Rights: To (a) modify or remove content at any time; (b) suspend or terminate accounts for violation of these Terms and Conditions; and (c)change features or service availability.

1.8 Third-party links and integrations (a) some services integrate with smart TVs, car systems and voice assistants, among others; and (b) these Terms and Conditions clarify that the GCMX Africa is not responsible for third-party behaviour.

1.9 Geographic Availability (a) Content libraries differ by country due to licencing agreements; and (b) access may be blocked when travelling abroad.

1.10 Termination We reserve the right to suspend or terminate access if a user violates these Terms or engages in fraudulent activity.

1.11 Limitation of Liability Liability is limited to the amount paid by user and GCMX Africa is provided on an “as is” basis and is not liable for: (a) indirect, incidental or consequential damages arising from the use of our services; (b) service interruptions; (c) system inaccuracies; (d) loss of revenue or profit; (e) issues caused by third-party services; or (d) user misuse.

1.12 Changes to Terms (a) GCMX Africa reserves the right to update or modify these Terms at any time; and (b) Continued use of our Services after updates means acceptance of the revised Terms.

1.13 Dispute Resolution Any dispute shall be resolved in accordance with the following procedure: (a) Parties shall first attempt to resolve disputes amicably. (b) if unresolved after 14 days, the dispute shall be referred to mediation at the Kano Multi-Door Courthouse. (c) if mediation also fails, disputes shall be referred to arbitration under the Arbitration and Mediation Act 2023 with the seat of arbitration at Kano State of Nigeria. 1.14 Governing law These Terms and Conditions are governed by laws of the Federal republic of Nigeria.

1.15 Effective Date: November 2025

3-GENERAL VENDOR TERMS AND CONDITIONS These General Vendor Terms and Conditions ("Agreement") govern the relationship between GCMX ("the Company") and any registered content provider ("Vendor") who uploads, distributes, or monetizes content through the GCMX Africa streaming platform, website, or mobile application. By registering as a Vendor, you agree to comply with all the terms and conditions stated below.

3.1 Vendor Registration and Eligibility Vendors shall: (a) register and pay a one-time membership fee of ₦5,000.00 (five-thousand Naira only) to activate their dashboard. (b) upload films, music, books, series, podcasts, or blog content. (c) retain full copyright ownership of their uploaded contents. (d) submit a valid affidavit confirming that all uploaded contents are owned or licensed by the vendor and not stolen, copied, or misappropriated from another party and duly passed appropriate censorship authority. Provided that any vendor found violating this rule will be handed over to the appropriate security agency.

3.2 Revenue Sharing and Payments (a) GCMX Africa receives 70% of total revenue generated from each transaction (subscription or purchase), while the Vendor receives 30%. (b) Vendors can view their earnings and withdrawal history within their personal dashboard. (c) Pay-outs are made monthly to the vendor’s registered Bank Account once total earnings reach the ₦10,000 minimum withdrawal threshold. (d) GCMX Africa reserves the right to withhold payments in cases of suspected fraud, copyright infringement, or policy violations.

4. Content Review and Approval 4.1 All contents uploaded by vendors are subject to review by GCMX Africa before publication. 4.2 The review process takes up to 24 hours. If the content meets GCMX Africa’s standards and legal requirements, it will be published on the platform. 4.3 GCMX Africa reserves the right to reject or remove any content that violates the platform’s rules or Nigerian laws.

5. Content Ownership and Rights By uploading contents to GCMX Africa Platform, vendors grant the company a non-exclusive, worldwide license to stream, distribute, promote, and display the content within the platform and across GCMX Africa’s partner networks. This license does not transfer ownership — vendors remain the sole copyright holders of their contents.

6. Vendor Obligations Vendors agree to: (a) Upload only original or properly licensed contents; (b) Ensure all uploaded materials comply with Nigerian copyright, broadcasting, and digital media laws; (c) Provide accurate business and payment information; and (d) Keep account login credentials secure and confidential.

7. Restrictions Vendors must not upload or distribute content that: (a) Contains pornography, nudity, or sexually explicit material; (b) Promotes hate speech, discrimination, or insults to any religion or ethnic group; (c) Encourages violence, terrorism, or illegal activities; (d) Contains misleading information, scams, or fraudulent promotions; or (e) Violates copyright or intellectual property laws.

8. Termination and Suspension GCMX reserves the right to suspend, restrict, or permanently terminate any vendor account found to be in violation of these Terms and Conditions. Content found to be infringing or illegal will be immediately removed, and relevant authorities may be notified.

8. Limitation of Liability GCMX Africa shall not be liable for any indirect, incidental, or consequential losses arising from a vendor’s use of the platform. Vendors are solely responsible for the accuracy, legality, and ownership of their uploaded content.

9. Modification of Terms GCMX may update or modify these Terms and Conditions at any time. Any changes shall be communicated via email or notification on the platform. Continued use of the service after updates constitutes acceptance of the revised terms.
